NOCTA

NOCTA as a Neutral Digital Platform

Version 1.0 · Effective 27 August 2026

This document outlines a recommended legal and product structure in which NOCTA acts as a digital tool for discovery, coordination and administration, without becoming a party to bookings, assignments, invoices or payments.

Core principle

NOCTA facilitates the relationship. The users own the agreement.

1. Contractual structure

Agreement between NOCTA and the user: this agreement governs the account, use of the platform, platform functionality, content, data processing and rules for using the service.

Agreement between users: the booking or assignment itself is entered into directly between the relevant users, for example between a DJ or the DJ’s company and a restaurant, venue or other legal entity. NOCTA is not a party to that agreement.

2. Recommended core wording

NOCTA provides a digital platform and administrative tools that enable users to discover, communicate and coordinate with one another. NOCTA is not a party to any booking, performance, employment, agency, payment or invoicing agreement entered into between users.

Any booking or assignment administered through the platform is entered into directly between the relevant users. The users are solely responsible for agreeing on and fulfilling the terms of the booking.

3. Responsibilities of the users

— Fees, compensation and other costs

— VAT, taxes, business registration and accounting

— Invoicing and payment

— Cancellation terms and any related compensation

— Dates, times, location and performance

— Equipment, technical setup and practical conditions

— Work environment, safety, permits and licences

— Insurance and other legal requirements

— Disputes, claims and performance between the parties

4. Product language

The interface should make it clear that users enter into agreements with each other, not with NOCTA.

Recommended wording: Send booking request · Accept request · Confirm agreement · Booking details · Contact the counterparty · Invoice the venue directly.

Avoid wording that may create the wrong impression: Book through NOCTA · NOCTA confirms your booking · Pay NOCTA · NOCTA guarantees the artist · Your contract with NOCTA — when referring to the performance itself.

5. Invoicing

1. The restaurant or venue enters its billing details.

2. The DJ receives access to the details after the booking is confirmed.

3. The DJ or the DJ’s company sends the invoice directly to the paying party.

4. NOCTA may display the fee, invoice status and reminders as administrative information fields.

5. NOCTA does not receive, issue, pay or guarantee the invoice.

Invoice status is provided for administrative purposes only. NOCTA does not issue, process or guarantee invoices or payments.

6. Cancellations and disputes

NOCTA may provide tools for users to register a cancellation and display the terms selected by the parties. However, if NOCTA is to remain neutral, the platform should not determine, collect or enforce cancellation compensation.

NOCTA may display the cancellation terms selected by the parties but does not determine, collect or enforce cancellation fees.

For disputes or operational issues, NOCTA may provide reporting tools, message history, booking history, data exports and account measures in cases of misuse. A function such as “Report an issue” is preferable to “Open a claim” if NOCTA will not adjudicate the dispute.

7. Liability and limitations

To the extent permitted by applicable law, the Terms should clarify that NOCTA is not responsible for users’ acts or omissions, failed performances, quality, no-shows, late arrivals, non-payment, incorrect billing details or disputes between users.

NOCTA remains responsible for its own obligations, including the operation of the platform under its agreement, personal data processing, information security and any liability that cannot legally be excluded.

8. Registration acknowledgement

Example wording only — not an interactive control:

☐ I agree to NOCTA’s Terms of Service and confirm that I have read the Privacy Policy.

NOCTA provides digital tools for communication and administration. Booking, payment, invoicing and performance agreements are entered into directly between users.

9. Confirmation for a specific booking

Example wording only — not an interactive control:

By confirming, you enter into an agreement directly with [counterparty/legal company name] under the booking details shown below. NOCTA is not a party to this agreement.

☐ I confirm that the booking details are correct and agree to the booking with [name].

10. Recommended positioning

— A neutral software platform for live music professionals

— A digital coordination and workflow platform

— An administrative tool for artists, bookers and venues

Avoid describing NOCTA as a booking agency, artist agency, employer, payment provider or invoice intermediary unless that reflects the actual functionality of the service.

11. Important before launch

The legal assessment depends not only on the wording of the Terms but also on how the service works in practice. If NOCTA later controls pricing, receives payments, determines fees or otherwise acts as the actual contracting party, the allocation of responsibility may change. Final terms should be reviewed by legal counsel experienced in digital platforms, contract law and GDPR.
